This Agreement constitutes the terms and conditions of use and participation in the TOLIDMI Portal of the TOLIDMI Company. All rights to the TOLIDMI Portal belong to the TOLIDMI Company, Multidomain electronic resources of the TOLIDMI Portal belong to the TOLIDMI Company.

1. Information and economic, scientific and analytical, industrial Platform TOLIDMI – www.v01.tolidmi.euroazietrade.com.

2. TOLIDMI: Fundamental mathematics – www.tolidmi-mathematics.com.

3. TOLIDMI: Information Technologies – www.tolidmi-it.com.

4. Hereinafter in this Agreement TOLIDMI - Tender will be indicated "T-T", TOLIDMI - Auction will be indicated "T-A", TOLIDMI - Patent will be indicated - "T-P" , TOLIDMI - Investment will be indicated - "T-I" . Personal cabinet of the Participant of the Portal will be indicated - account. Below from paragraph 5 hereof, the matter concerns the agreement of use and participation of paragraph 1.

5. The Participant of the Portal can be a natural or legal person who has completed the Registration procedure, accepted this Agreement of Use and participation in the TOLIDMI Portal and approved by the Portal Administration.

6. The User of the portal can be a natural or legal person who has not completed the Registration procedure and/or his/her/its participation is not approved on the part of the Portal Administration. Participants of the Portal acting out of their account are the Portal users .

RIGHTS AND POWERS OF THE USER OF THE PORTAL:

7. To learn and see the available technical services of the Portal.

8. At any time the user can contact Portal Administrators on all technical issues of the Portal.

9. At any time the user can become a participant of the Portal (paragraphs 5, 6).

10. Status of Participants of the Portal:

10a. Demo-Version: 10 (ten) consecutive days.

10b. Limited Functional.

10c. Complete Functional.

PAYMENT FOR PARTICIPATION IN THE TOLIDMI PORTAL:

11. Payment of participation in the Portal for the Full Functional status (paragraph 10с ) is made at the discretion of the participant within the following intervals: 90 days (25 USD ), 180 days (50 USD ), 270 days ( 75 USD ), 365 days (100 USD) and shall enter into force from the moment of money receive in favor of the TOLIDMI Company. The maximum period of payment for the participation in the Portal in the Full Functional status (paragraph 10с) is two (2) consecutive years.

SERVICES OF THE TOLIDMI PORTAL:

12. Organization and participation in TOLIDMI - Tender.

13. Organization and participation in TOLIDMI - Auction.

14. Obtaining TOLIDMI - Patent.

15. Application to TOLIDMI - Investment. Application to TOLIDMI – Investment, Portal Administration is made at the discretion of the Patent Owner / Investor, within the following intervals: 180/365 consecutive days.

FINANCIAL POLICY OF PARTICIPATING IN THE ACCOUNT OF THE TOLIDMI PORTAL:

16. Transfer of funds to the internal account of the personal cabinet, payment of participation (paragraph 11) , payment for services (paragraphs 12-15) to be made by the following ways: - PayPal , Webmoney, bank transfer.

17. At its discretion, any Participant of the Portal may dispose the funds transferred to the internal account of the personal cabinet, using the following financial instruments ( f - formulas of deductions in favor of the Portal, a - coefficient of price formation of the current service, currency of payment – USD, min - minimum price, max - maximum prices for opening / current participation in the service):

17а. Organisation of a tender:
a = (min + max) / 2;
a < 40000, f = a * 0. 01;
a >= 40000, f = a * 0. 001 + 360.

17b. Participation in a tender:
a = (min + max) / 2;
a < 40000, f = a * 0. 001;
a >= 40000, f = a * 0. 0001 + 36.

17с. Organisation of an auction:
f = P * 0. 01 * 0. 5 (P – final purchase price of the lot).

17d. To the winning bidder of the auction:
f = P * 0. 01 * 0. 5 (P - final purchase price of the lot).

17e. Request of investment for a patent: 20 USD.

17f. Request from the investor:
a = (min + max) / 2;
a < 40000, f = a * 0. 01;
a >= 40000, f = a * 0. 001 + 360.

17g. Registration of a patent: 10 USD.

17h. At their discretion, the Participant of the Portal may dispose the funds credited to the internal account within the personal cabinet by the Portal Administration after non-compliance with the financial policy of the Service TOLIDMI - Auction by the Contractor (paragraph 20) , lack of a contractor meeting the necessary requirements of the Participant in Service TOLIDMI - Investment ( paragraph 15).

GROSS VIOLATIONS OF PARTICIPATION IN TOLIDMI PORTAL :

18. Attack against the Honor and Dignity of the Participants of Administrators of the Portal.

19. Use of obscene words.

20. Violation of the financial policy of Service TOLIDMI - Auction: non-payment of the invoice, generated in the account ( paragraphs 17c, 17d).

RIGHTS, DUTIES AND POWERS OF THE USER WITH STATUS "DEMO-PERIOD"

21. Transfer of funds to the internal account in the Portal (paragraph 16).

22. Make the payment for participation in the Portal (paragraph 11) and "full functional" status of the account (see paragraphs 43-46).

23. Review of actual "T-T" and "T-A", review of "T-P".

24. Obtaining of TOLIDMI - Patent ( paragraph 14).

25. Application to TOLIDMI - Investment ( paragraph 15).

26. At any time the Participant of the Portal may contact the Administrators of the Portal on all technical issues.

27. GROSS VIOLATIONS ( see paragraphs 18, 19) are not allowed.

28. Provide valid personal data and maintain them up to date.

29. Observe strictly the current agreements regulating the usage of the Portal.

30. Do not use the Portal for illegal purposes.

31. Do not commit illegal acts using the Portal.

32. Do not disclose confidential information used to access the account.

33. The Participant shall be liable for all activities made on the name of the Participant within the Portal, for the security of confidential information used to access the account, for the quality and timeliness of performance of commitments taken within the.

34. The funds spent by the Participant to pay for the services of the Portal are not subject to refund or compensation, including the event of refusal of rendering the service ( see paragraphs 49-53). When the Demo-period expired and the Participation in the Portal is not paid (paragraph 11), the Demo-period status changes to the Limited Functional status.

RIGHTS, DUTIES AND POWERS OF PARTICIPATING IN THE LIMITED FUNCTIONAL STATUS

35. Transfer of funds to the internal account in the Portal (paragraph 16).

36. Make the payment for participation in the Portal (paragraph 11) and "full functional" status of the account (see paragraphs 43-46).

37. Review of actual "T-T" and "T-A", review of "T-P".

38. An application in "T-I" Service submitted during the demo-period will remain under consideration.

39. Obtaining of TOLIDMI - Patent (paragraph 14).

40. Application to TOLIDMI - Investment (paragraph 15).

41. At any time the Participant of the Portal may contact the Administrators of the Portal on all technical issues.

42. GROSS VIOLATIONS (see paragraphs 18, 19, 28-34) are not allowed.

RIGHTS, DUTIES AND POWERS OF THE PARTICIPANT IN THE FULL FUNCTIONAL STATUS

43. Transfer of funds to the internal account in the Portal (paragraphs 16, 17, 17a-17h).

44. Usage of all functions and participation in all Services of the Portal (paragraphs 12-15).

45. At any time the Participant of the Portal may contact the Administrators of the Portal on all technical issues.

46. GROSS VIOLATIONS (see paragraphs 18, 19, 28-34) are not allowed. At the end of the time interval of the Full Functional status and non-extension of payment for the Participation in the Portal (paragraph 11), the Full Functional status changes to Limited Functional status.

RIGHTS AND RESPONSIBILITIES OF PORTAL TOLIDMI:

47. Show the Participants of the Portal the information on key services and sections of the Portal with quality and in time.

48. Perform the just activity towards participants and users of the Portal. Refuse the Participant of the Portal to provide full services (partial) volume with/without giving the reasons in the following cases (49-53):

49. In case of GROSS VIOLATIONS (paragraphs 18, 19) the Participant of the Portal is automatically excluded from the Portal without the right of repeated registration and without reimbursement of funds.

50. In case of a GROSS VIOLATION (paragraph 20), the Portal Administrators shall clarify the reason for the violation, and in case of repeated violation the Participant shall be excluded from the Portal, without the right of repeated registration and without reimbursement of funds.

51. If the Portal Administration has strong doubts in due usage of the Portal by the Participant.

52. Attempts by the Participant to cause any damage to the Portal.

53. Participant's refusal to perform just demands of the Portal Administration.

54. Delete any information from the Portal pages without giving reasons or refuse to place it.

55. The Administration of the Portal shall have the right to change the financial policy of the Portal with subsequent indications in the Participant's account.

56. To request additional information from the Participant of the Portal, as well as request provision of additional data that identifies the Participant.

57. Portal Administration is not responsible for the information placed by the participants, it only discovers SERIOUS VIOLATIONS OF PARTICIPATION IN THE PORTAL when necessary (paragraphs 18-20, 51-53).

58. The Administration of the Portal shall have the right to make any technical changes in the structure of the Portal, issue new versions of the Portal, perform modernization of the Portal, suspend the operation of the software and/or hardware of the Portal to perform renovation or preventive maintenance.

59. Usage of the Portal after making changes means unconditional acceptance by the Participant of the terms and conditions of the renewed Agreement.

60. The Administration of the Portal shall not participate in disputes between the Participants and / or third parties.

61. The Administration of the Portal shall not reimburse the funds credited to the internal account of the personal cabinet.

PRIVACY POLICY OF THE TOLIDMI PORTAL:

62. By registering or using the services of the Portal, the Participant unconditionally confirms that all personal data are submitted by him/her/it for storage and treatment voluntarily, including all data submitted to the Portal site by the Participant’s software he uses to work with the Portal.

63. The Portal is not liable for the use of personal data by third parties.

64. Portal will take all measures to protect the personal data of the Participant. But due to software or hardware failure, or force majeure, the Participant’s data may become accessible to third parties.
